GENERAL TERMS AND CONDITIONS Andora Hats
Definitions Andora Hats:
Andora Hats, established in Groningen, Chamber of Commerce no. 90867440. Customer: the party with whom Andora Hats has entered into an agreement. Parties: Andora Hats and customer collectively.
Consumer: a customer who is an individual acting for private purposes.
Applicability
These terms and conditions shall govern all quotations, offers, activities, orders, agreements, and deliveries of services or products by or on behalf of Andora Hats. Parties may deviate from these conditions only if explicitly agreed upon in writing. The parties expressly exclude the applicability of supplementary and/or deviating general terms and conditions of the customer or third parties.
Prices
All prices utilized by Andora Hats are in euros, inclusive of VAT, and exclusive of any other costs such as administration costs, levies, and travel, shipping, or transport expenses, unless expressly stated otherwise or agreed otherwise. Andora Hats reserves the right to adjust prices for its products or services, as displayed in its shop, on its website, or otherwise, at any time. Price increases may result from unforeseen increases in the cost prices of products or parts thereof, which Andora Hats could not have foreseen at the time of making an offer or concluding the agreement. The consumer has the right to terminate an agreement due to a price increase, unless the increase is the result of statutory regulation.
Samples / models
If the customer has received a sample or model of a product, no rights can be derived from it, unless explicitly agreed upon that the products shall conform to the sample or model.
Payments and payment term
Upon agreement conclusion, Andora Hats may require a down payment of up to 50% of the agreed amount. The customer must pay the full amount within 7 days after product delivery. Payment terms are considered as fatal; failure to pay by the last day of the term constitutes legal default, without the need for a reminder from Andora Hats.
Andora Hats reserves the right to make delivery conditional upon immediate payment or to require adequate security for the total amount of the services or products.
Payments and payment term - Store Products are immediately paid for in the store. Consequences of late payment: If the customer does not pay within the agreed term, Andora Hats is entitled to charge interest as specified. In case of default, the customer is also liable for extrajudicial collection costs and may be obliged to pay compensation to Andora Hats.
Right of recovery of goods
In case of customer default, Andora Hats may invoke the right of recovery for unpaid products. The right of recovery is exercised through written or electronic notice. Upon notification, the customer must promptly return the products, and the associated costs are borne by the customer.
Right of withdrawal
A consumer may cancel an online purchase within a 14-day cooling-off period without stating a reason, provided the product is unused and meets certain criteria specified in the terms.
The consumer can notify the right of withdrawal via info@andorahats.com or by using the withdrawal form available on the Andora Hats website. The product must be returned within 14 days, and customers returning sale or clearance items receive gift vouchers equivalent to the amount paid.
Details for Customized Products
Satisfaction Guarantee for Custom Products: Andora Hats assists customers throughout the quoting, design, and proofing process. Returns or exchanges are not accepted for custom-produced items.
Returns & Exchanges
No returns or exchanges are accepted for custom-produced merchandise. If the consumer exercises the right of withdrawal, return costs are borne by the consumer.
Suspension of obligations by the customer
The customer waives the right to suspend fulfillment of any obligation arising from the agreement. Right of retention: Andora Hats may retain ownership of delivered products until the customer has fulfilled all payment obligations.
Settlement
The customer waives the right to settle any debt with any claim on Andora Hats.
Retention of title
Andora Hats remains the owner of all delivered products until the customer has fully complied with payment obligations. Until then, the customer may not pledge, sell, dispose of, or encumber the products.
Delivery
Delivery occurs while stocks last. Delivery takes place at Andora Hats unless otherwise agreed. Products ordered online are delivered to the customer's specified address. If the agreed price is not paid on time, Andora Hats has the right to suspend obligations until full payment is received. Late payment results in customer default, and objections to late delivery are not valid.
Delivery period
Any specified delivery period is indicative and does not grant the customer the right to dissolution or compensation unless explicitly agreed otherwise in writing. Actual delivery begins after the customer completes the ordering process. If the delivery period exceeds 21 days or if the parties agree otherwise, the customer may consider termination.
Transport costs
Transport costs are borne by the customer unless otherwise agreed. Packaging and shipping responsibilities are detailed, and the customer is advised to report any damage promptly.
Guarantee
Product warranty applies to defects caused by faulty manufacture, construction, or material. Andora Hats is not liable for normal wear and tear, damage from accidents, changes made by the customer, negligence, or improper use. The risk of loss or damage passes to the customer upon legal and/or factual delivery.
Exchange
Exchange is possible under specified conditions, including presentation of the original invoice, return within 30 days, and adherence to specific product conditions.
Indemnity
The customer indemnifies Andora Hats against all third-party claims related to supplied products and/or services.
Complaints
Customers must promptly examine products or services for shortcomings and report these within the stipulated period. A detailed description of shortcomings is required for adequate response. Notices of default must be in writing.
Joint and several Client liabilities
If Andora Hats enters into an agreement with multiple customers, each is jointly and severally liable for amounts due. Liability of Andora Hats is limited to direct damages resulting from intent or gross negligence.
Expiry period
Customer rights to compensation expire within 12 months after the event giving rise to liability, subject to legal provisions.
Dissolution
The customer has the right to dissolve the agreement if Andora Hats imputably fails in fulfilling obligations. Andora Hats may dissolve the agreement if the customer fails to fulfill obligations or if circumstances raise concerns about proper fulfillment. Force majeure events are defined, and obligations may be suspended or dissolved after 30 days.
Changes in the general terms and conditions
Andora Hats may amend or supplement these general terms and conditions. Significant changes will be discussed with the customer in advance. Consumers can cancel the agreement in case of substantial changes.
Transfer of rights
The customer cannot transfer its rights without prior written consent from Andora Hats.
Consequences of nullity or annullability
Null or annullable provisions do not affect the validity of other terms; the closest valid provision replaces the null or annullable one.
Applicable law and competent court
Dutch law applies to all agreements, and the Dutch court where Andora Hats is established is exclusively competent, unless otherwise prescribed by law.
